FreeWheel requires that: All ads served through our system meet quality standards that safeguard the user experience and meet the requirements of FreeWheel's inventory partners. Programmatic inventory made available in our system meet quality and efficiency standards that protect the integrity of FreeWheel's programmatic marketplace. These standards are subject to change. Advertising Creatives Ads may not contain the following ad content or behave in the following ways: Illegal Activity : facilitate or promote illegal activity, or contain content that is illegal Malware : distribute adware, spyware, malware or viruses Downloads : cause software to download to the user's device on impression, click, or interaction Deceptive, offensive or inappropriate content : contain content that is deceptive, misleading, defamatory, obscene, distasteful, racially or ethnically offensive, harassing, or that is discriminatory based upon race, gender, color, creed, age, sexual orientation, or disability Adult oriented : contain sexually suggestive, explicit, or pornographic content Intellectual property and copyrighted content : infringe upon or violate any right of any third party, including, without limitation, any intellectual property, copyrighted content, privacy, or publicity rights Illegal or prohibited products : market or promote gambling, guns, alcohol, or tobacco products Additional windows : spawn additional windows or messages beyond the original Ad or auto-forward users’ browsers, resemble system dialogue boxes or error messages Creative Declarations : All creatives must have attributes accurately declared. Including but not limited to advertiser domain, auto-play video, click-to-play video, expandable, secure and any other attributes that may be added from time-to-time. Ad Errors : every auction you win on the platform you must deliver a creative that registers an impression. Any creatives that error out or for any reason or do not deliver are in violation. In particular, the use of VPAID or VAST tags that result in VPAID errors are not allowed. Violate laws : violate any applicable laws. Ad Resale In some cases advertisers may buy ad impressions and use an ad tag to resell those impressions. When reselling ad inventory, FreeWheel will prohibit tags which result in the following behaviors: Falsify source : intentionally obscure or falsify the source of the inventory or artificially inflate the volume of such inventory in any way. Fraudulent display : intentionally display the ads in a non-visible portion of the page, or insert the ad into a non-visible iframe. Ad stuffing : use a single ad impression to display multiple ad slots. Non-Delivery : Any ad that does not deliver a creative and register an impression 100% of the time whether for technical reasons or because the purchased impression was unfilled. Landing Pages Landing Pages must also comply with quality standards, including: General : Landing pages may not contain any of the prohibited content or behaviors outlined above. Offers : The offers or products advertised in the creative should match those available on the landing page. Forceful redirect : Landing pages should not forcefully redirect the user to other pages or content. Programmatic Module Deal Billing Override While FreeWheel and our partners aim to accommodate all requests, misuse of the deal level billing override toggle may create accounting issues that cannot be easily resolved between FreeWheel and our partners.  As such, the Supplier understands use of this feature functions as an override to exempt the deal from FreeWheel clearing practices and understands to the following terms when employing the override:  Acceptable Use Cases:  The billing override toggle was designed and intended to solve for pro bono orders, make goods and test budgets over $15.    Billing Reconciliation:  When employing the toggle, you are electing to exempt FW from clearing and, as such, FreeWheel has limited ability to mitigate billing issues related to direct billed deals.  Buyer Notification:  Prior to employing the deal billing override, Seller agrees to work with Buyer to ensure correct deal setup within the DSP; indicating all revenue generated by deal shall be billed by the Seller. Change Resolutions:  The billing override toggle cannot be reversed manually once employed. When errors arise, Seller should notify their account team to have the toggle reset prior to the 29 th  of the month.  In the event the error is noticed after the close of the month, account team should be notified to reset the toggle and FreeWheel will aim to rectify financials with cooperation from our DSP partners.  Deal Terms Changes:  In lieu of having the toggle reset, the creation of a new deal is required for any changes in business strategy. Revenue Share:  FreeWheel will collect agreed upon service fee’s regardless of whether Supplier was able to collect from DSP for transactions they agree to clear. Resold, Multi-Hop, and Inefficient Programmatic Inventory FreeWheel is committed to maintaining a premium, transparent, and efficient programmatic marketplace. To protect buyers, sellers, and the integrity of FreeWheel, we impose the following requirements governing the sale of programmatic inventory and supply‑path quality. Seller Responsibility for Inventory:  Sellers are fully responsible for the validity, quality, and efficiency of all inventory they make available via FreeWheel, including inventory originating from third‑party partners and intermediaries. Demand Integration Management:  FreeWheel reserves the right to manage traffic flows, request volume, downstream partner constraints, and perform other quality checks. Restricting Resold, Multi‑Hop, and Inefficient Inventory:  FreeWheel may restrict, limit, remove, or block any inventory made available programmatically via FreeWheel which either: is resold, re‑brokered, or multi‑hop (“nodal”); or FreeWheel deems inefficient. Ongoing Monitoring and Cooperation:  FreeWheel may audit any inventory made available programmatically via FreeWheel and may require additional documentation in relation to such inventory. Sellers must cooperate with FreeWheel during any audit or investigation relating to supply‑path integrity or supply efficiency. Targeting Restrictions Customer   will not, and will ensure that its advertisers do not: target ads to children under the age of 13 years or use the Marketplace in a manner that could violate the Children’s Online Privacy Protection Act or similar applicable laws in other jurisdictions, or target ads to users generally accepted as “sensitive” pursuant to Internet advertising industry guidelines unless pursuant to an opt-in policy. Compliance In cases where FreeWheel detects violations to these policies FreeWheel shall have the right to immediately stop delivery of the offending ads.
